Charley Henrikson leads teams in complex securities litigation and valuation matters. Mr. Henrikson has over a decade of experience consulting with clients and supporting experts in federal and state courts, including California state court and the Delaware Court of Chancery. He has worked on numerous securities matters involving Rule 10b-5 and Section 11/12 claims and has addressed market efficiency, price impact, Comcast, loss causation, and damages issues in these contexts. In valuation matters, Mr. Henrikson has analyzed damages, loss causation, and solvency.
Mr. Henrikson consults on all stages of the litigation process, including preliminary exposure analysis, mediation, class certification, merits, summary judgment, and trial.
Securities litigation
Mr. Henrikson has extensive experience with securities matters involving Rule 10b-5 and Section 11/12 claims. He supports experts addressing issues relating to market efficiency, price impact, Comcast, loss causation, and damages. Mr. Henrikson has worked on matters in a wide range of industries, including manufacturing, pharmaceuticals, retail, social media, and technology. His recent work includes:
- Analyzing loss causation and damages issues arising in Hsu et al. v. Puma Biotechnology Inc. et al., a rare securities class action trial
- Evaluating negative causation issues in a Section 11 California state court case, in which the court granted summary judgment for the defendants
- Assessing market efficiency for a number of stocks during a period of unusual trading behavior; the court ruled that the market for these securities was not efficient
- Consulting on numerous cases involving preliminary assessments of class certification and merits strategies, damages exposure, and potential settlement values
Valuation
Mr. Henrikson has supported experts providing valuation analysis in the context of venture capital (VC) disputes, solvency opinions, securities cases, and merger and acquisition (M&A) litigation. Representative work includes:
- Performing valuation analysis in Frederick Hsu Living Trust v. ODN Holding Corp. et al. to demonstrate that the founder’s losses were caused by general industry challenges, and not the alleged harmful actions
- Analyzing a solvency opinion to determine whether a company that was spun off from its parent had been provided with sufficient capital
- Assessing a company’s business fundamentals to demonstrate that the company’s stock price was detached from its fundamental value
Pro bono
Mr. Henrikson is involved with the firm’s pro bono initiatives. He is part of a team working with Appleseed, a network of justice centers, to analyze eviction filings in South Carolina and determine their impact on communities of color.
