Chady Gemayel provides economic and financial analysis and expert support in all phases of commercial litigation, including class certification, merits, mediation, and trial. Dr. Gemayel has extensive experience with securities litigation matters, including those involving special purpose acquisition companies (SPACs). He also consults on valuation, corporate governance, corporate transactions, and derivative litigation, including cases in the Delaware Court of Chancery.

Securities litigation
  • Addressing economic issues under Sections 10b and 14a of the Securities Exchange Act of 1934 and Sections 11 and 12 of the Securities Act of 1933
  • Evaluating market efficiency, price impact, and Comcast issues at the class certification phase and inflation, loss causation, and damages issues at the merits phase
  • Evaluating economic damages exposure at all stages of the litigation process, including at mediation, for both class action matters and opt-out litigation
  • Analyzing financial instruments such as common stock, American depositary receipts (ADRs), debt securities, and derivative securities (including exchange-traded options) for energy, financial services, and pharmaceuticals companies, among others
Valuation
  • Conducting valuation analyses in the context of merger and acquisition (M&A) deal litigation and bankruptcies
  • Applying valuation methodologies such as discounted cash flow (DCF) to determine the valuations of firms and firm assets
  • Assessing market price based on business fundamentals and event study analyses
