Joe Basile is a nationally recognized mergers and acquisitions (M&A) expert with more than forty-five years of experience in M&A dealmaking and corporate governance as an M&A attorney, mediator, and law school professor. Mr. Basile’s experience spans many industries, including aerospace, chemicals, consumer goods, entertainment, finance, life sciences, logistics, manufacturing, media, natural resources, paper and packaging, technology, and telecommunications. As an expert witness, Mr. Basile has been retained to address customs and practices related to group restructurings, de-merger transactions, and post-closing indemnification.
Mr. Basile has served as a partner in the M&A practices of Weil, Gotshal & Manges; Foley Hoag; and Bingham McCutchen; and as a senior advisor at Hogan Lovells. As a former practicing M&A attorney, Mr. Basile has extensive firsthand knowledge of industry customs and practices, deal processes, and structures that are central to M&A, financing, restructuring, and other sophisticated corporate transactions. He has worked on complex domestic and cross-border mergers, acquisitions, divestitures, control and minority investments, joint ventures, strategic alliances, and financial restructurings in North America, Europe, Asia, and Latin America. Mr. Basile has represented both buy-side and sell-side clients, with significant experience in negotiated, hostile, and distressed M&A transactions and financial restructurings.
Mr. Basile is a thought leader on M&A and governance topics. He publishes articles in professional journals and law reviews. He has frequently presented to organizations such as the American Bar Association, the International Bar Association, the NYSE Governance Services, and the National Association of Corporate Directors.
Mr. Basile founded and serves as managing director of Pari Passu M&A Mediation, an independent specialist practice that focuses on mediating disputes arising from mergers, acquisitions, divestitures, joint ventures, and control and minority investment transactions.
Mr. Basile is also a lecturer in the Transactional Law Program at Boston University School of Law. Earlier in his career, he was a law professor at Western New England University School of Law, where he was awarded tenure and recognized for excellence in teaching. Mr. Basile has also taught corporate finance and M&A courses at the University of Connecticut School of Law.
